Listener / User Agreement

Welcome to Audibin, operated by Audibin LLC, a Colorado limited liability company (Audibin, we, us, or our). By creating an account, accessing, or using the Audibin platform and services (collectively, the Service), you agree to be bound by these Terms of Service (Terms). If you do not agree to these Terms, do not use the Service.
These Terms constitute a legally binding agreement between you and Audibin. We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the effective date. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.
You must be at least 13 years of age to use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Service, you represent and warrant that you meet these eligibility requirements.
To access certain features of the Service, you must register for an account. You agree to:
Audibin reserves the right to suspend or terminate accounts that contain inaccurate information or that have been inactive for an extended period, as set forth in Section 11.
Audibin offers both free and paid subscription tiers. Paid subscription fees are charged in advance on a recurring basis (monthly or annually, as selected). By providing a payment method, you authorize Audibin to charge the applicable subscription fee to that method.
Paid subscription fees are distributed to artists on the platform in accordance with Audibin's Artist Compensation Model, described in Section 5. You acknowledge and agree that subscription fees, once paid, are non-refundable except as required by applicable law or as expressly stated in these Terms.
Audibin reserves the right to modify subscription pricing upon reasonable advance notice. Your continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.
Audibin distributes a portion of subscription revenue to artists on the platform through a quarterly artist payment model. Under that model, fifty percent (50%) of gross subscription revenue collected in each calendar month is allocated to eligible artists as a platform distribution payment, with the monthly allocations aggregated and paid on a quarterly basis in accordance with Audibin's Artist Compensation Policy, which is incorporated by reference into these Terms and may be updated from time to time. Eligible artists may also participate in any separate annual profit share that Audibin declares under its governing company policies.
You acknowledge and agree that Audibin's compensation model is distinct from traditional streaming royalty structures and constitutes a platform distribution payment, not a royalty, license fee, or other payment governed by the Copyright Act or any collective bargaining agreement.
For paid subscription tiers that use listener-follow allocation, each subscriber's monthly artist allocation is divided equally among the artists that subscriber followed for the minimum eligibility period established under Audibin's then-current Artist Compensation Policy. Audibin reserves the right to modify eligibility rules, allocation mechanics, or related features upon reasonable notice.
Subject to these Terms, Audibin grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use. You agree not to:
The Service contains music and other content uploaded by artists and third parties (User Content). Audibin does not own User Content and is not responsible for its accuracy, legality, or appropriateness. Audibin reserves the right, but not the obligation, to remove content that violates these Terms or applicable law.
By accessing User Content through the Service, you agree that you will not reproduce, download, record, or otherwise capture such content except as expressly permitted by Audibin.
The Audibin name, logo, platform design, software, and all related intellectual property are owned by or licensed to Audibin LLC and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right or license to use Audibin's trademarks, logos, or other proprietary materials.
Your use of the Service is subject to Audibin's Privacy Policy, which is incorporated by reference into these Terms. By using the Service, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AUDIBIN DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AUDIBIN LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF AUDIBIN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. AUDIBIN'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO AUDIBIN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Audibin reserves the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, to the extent permitted by applicable law. You may terminate your account at any time by following the instructions in your account settings. Upon termination, your right to use the Service will immediately cease.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service (Dispute) shall be resolved by binding arbitration administered by JAMS Denver in accordance with its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual action in small claims court.
YOU AND AUDIBIN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
The arbitration shall be conducted in Denver, Colorado, or at such other location as mutually agreed. Colorado law shall govern these Terms and any Dispute, without regard to conflict-of-law principles.
These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Denver County, Colorado.
These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Audibin regarding the Service. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
